The operations of the company are managed under the direction of the Board of Directors, within the framework set by the Indian Companies Act and our Articles of Association as well as any complementary rules of procedure as defined by the Board, such as the Corporate Governance Guidelines and related Board Committee charters.
Responsibilities of the Board of Directors
The Board represents and is accountable to the shareholders of the company. The Board's responsibilities are active, not passive, and include the responsibility regularly to evaluate the strategic direction of the company, management policies and the effectiveness with which management implements them.
The Board's responsibilities also include overseeing the structure and composition of the company's top management and monitoring legal compliance and the management of risks related to the company's operations. In doing so, the Board may set annual ranges and/or individual limits for capital expenditures, investments and divestitures and financial commitments not to be exceeded without Board approval.
In risk management policies and processes the Board's role includes risk analysis and assessment in connection with each financial and business review, update and decision-making proposal. Risk oversight is an integral part of all Board deliberations.
It is the responsibility of the members of the Board to act in good faith and with due care so as to exercise their business judgment on an informed basis in what they reasonably and honestly believe to be in the best interests of the company and its shareholders. In discharging that obligation, the directors must inform themselves of all relevant information reasonably available to them.
In line with Vizebh Compositech Pvt Limited's Corporate Governance Guidelines, the Board conducts annual performance evaluations, which also include evaluations of the Board Committees' work, the results of which are discussed by the Board.
Mr. Amrish Patel has a Bachelor's degree in Electronics & Telecommunications from Bangalore University, India. Mr. Amrish is a young, dynamic entrepreneur; wishes to take challenges to compete in the highly advanced & fast growing market of telecommunication. He is in Telecommunication Industry since last 13 years and has a proven track record in converting Greenfield projects to highly profit making global organizations. For most of his career in the telecommunication industry, he has developed an enviable record of professional expertise. Since 2000, Mr. Amrish is involved and has served as Director in many of the Telecommunication Industries in India and since 2008 is the Founder of Telecommunications Industries as Rudra Global Inc., CA, USA and Vizebh Communications and Networking LLC, Dubai. He was instrumental in turning around the financially sick companies in stipulated time frame. His human networking has helped many Telecommunications industries globally. He played active role in developing companies in the USA, Dubai and India. His two of the Telecommunication Industries projects' main activity is to provide IT and Telecommunication services to National and International Markets. It included Telecommunication Network Services, Technical Support, Software Service, Software Development Services, Sales and Marketing Management Services. He has been the catalyst in framing the strategic business planning in his previous & existing company association. His Contribution is immense in designing & implementing products as per client requirements.
He had represented the Group during different Business Meetings, Conferences, Expo & Exhibitions. He has to his credit developing a very powerful techno commercial team to monitor his present business as well as to develop and launch new products and gain leadership position in the fast growing segments of communication systems and related businesses. His mission is to take the company to global heights and adhere to the best corporate practices. He is a great visionary and is continuously updating himself about the current and the future trends of this industry.
Mr. Amrish holds together a team of highly qualified and experienced professionals from the industry, thus proving his ability as a good leader. With a vision to craft the company into the premier composites manufacturer globally, he plans to expand capacities and introduce new value added product lines.
Mr. Jinesh Patel is a Diploma in Civil Engineering from Sigma Institute, Vadodara. He holds responsibility for relationship management with routine vendors of Vizebh Compositech Pvt Limited and would be responsible for Manpower Management too. His academic knowledge in Civil field was of immense help in establishment of this project with speedy implementation. In a very short career span, Mr Jinesh has been acknowledged for his vision and commitment. Leveraging the significant learning of sustainable excellence from different business domains at a very young age, Mr. Jinesh has the apt and the ability to lead from the front and would be one of the main backbones of Vizebh Compositech Pvt. Limited. His dynamic leadership and passion for the business is recognised and acknowledged by his peers.
Mr Pradeep K Mahalik has a Bachelor's Degree in "Electrical Engineering" and Master's Degree in "Quality & Reliability Engineering" from the Indian Institute of Technology, Kharagpur and is an MBA in Operations Management. He is also a Post Graduate Diploma in Supply Chain Management. Mr. Mahalik is a Lean Six Sigma Master Black Belt with more than 18 Years of Experience in Operational/Process Excellence, Lean/Six Sigma/Lean Six Sigma, Business Process Excellence, Quality Assurance, Reliability Engineering and Management, TQM and QMS from reputed Fortune 200 MNCs (DENSO, Saint-Gobain) and as well as Indian Conglomerates (Kirloskars, TATAs, SUZLON) of International Repute, wherein in his last industry assignment, was the Operational Excellence Head for 8 plants of Suzlon Energy Limited (India, USA, China). Prior to taking over the responsibility of Vizebh Compositech Pvt Limited, Vadodara, Mr. Mahalik was Managing Director of XONITEK Consulting Group Intl., USA was the founder member for XONITEK India formation and was responsible for India Operations. He has extensive experience in implementation of Business Excellence model such as Tata Business Excellence Model - TBEM, based on Malcolm Baldrige National Quality Award of the USA.
Mr. Mahalik was also one of the Editorial Board Member of iSixSigma International Journal from the USA. Previously in his career, he served in a number of senior positions, including Chief Quality Officer (CQO) in most of the occasions.
With several International publications to his credit and extensive Industry Experience, Mr. Mahalik offers a winning combination of profound academic theory and proven, practical solutions.
Mr. Mahalik would be responsible for Business Development, Complete Supply Chain and Operations and would be responsible for the company's product groups, corporate development, national and global sales, Joint Ventures including International Associations and service, as well as marketing and manufacturing organisations.
